These terms of use apply to the relationship between you and Throughline Politics, Inc., a Delaware corporation (together with its affiliates and subsidiaries, "Throughline", "we," or "us"). The following terms and conditions ("Terms of Use") govern your access to and use of the website at https://www.throughlinepolitics.com (the "Website"), including without limitation any content, functionality, and services offered on or through the Website (collectively, the "Services"). Please read the Terms of Use carefully.

By using the Services, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://throughlinepolitics.com/privacy. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Services.

The Services are offered and available to users who are 18 years of age or older and reside in the United States. By accessing the Website or using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not use the Services.

BY ACCESSING OR USING THE SERVICES YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE TERMS IN THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT AND IF ENTERING INTO THIS AGREEMENT FOR OR ON BEHALF OF AN ENTITY, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY; AND (C) ACCEPT THIS AGREEMENT ON YOUR BEHALF OR ON BEHALF OF THE ENTITY YOU REPRESENT AND AGREE THAT YOU OR SUCH ENTITY, AS APPLICABLE, ARE LEGALLY BOUND BY ITS TERMS.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and all or any part of the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period.

From time to time, we may restrict user access, including registered user access, to some parts of the Website or the Services.

You are responsible for both:

  • Making all arrangements necessary for you to access the Services.
  • Ensuring that all persons who access the Services through your internet connection are aware of these Terms of Use and comply with them.

You may be asked to provide certain registration details, including personal or demographic information, as a condition of registering to use the Services. All the information you provide to us must be correct, current, and complete. You agree that all information you provide to register for the Services is governed by our Privacy Policy (at https://throughlinepolitics.com/privacy), and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Service Fees And Recurring Billing

A. Purchase and Autorenewal.

You must purchase a subscription in advance in order to use the Services. To purchase a subscription to use the Services, you will need to add one or more Payment Methods to your account. "Payment Method" means a current, valid, accepted method of payment, which may include payment by a third party on your behalf.

Your subscription to use the Services will begin when your account is verified by Throughline and will automatically renew on a monthly basis until terminated. You must cancel your subscription before it renews in order to avoid being billed for the subscription fees for the next billing cycle.

The subscription fee and any other charges you may incur in connection with your use of the Service, such as taxes, transaction fees, or access to optional content or services, will be charged to your Payment Method on the specific payment date indicated on the "Account" page. Subscription fees are fully earned upon payment. We may charge against your Payment Method to verify it and to cover upcoming charges, including a pre-authorization of up to one month of service as soon as you register for a subscription.

If your subscription fee is being paid by a third party, you should contact that applicable third party for questions about payments.

B. Authorization.

You authorize us to charge any Payment Method associated with your account. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, we may suspend your access to the Service. Check with your Payment Method service provider for details regarding any additional fees or charges you may incur from that provider as a result of using the Payment Method for recurring payments.

You can update your Payment Methods by managing your account through the Website. We may also update your Payment Methods using information provided to us by third parties, provided that we secure your approval for the update. Following any update, you authorize us to continue to charge the applicable Payment Method, including charges to third parties who agree to pay your subscription fee on your behalf.

C. No Stored Card Data.

If you elect to use a credit or debit card as your Payment Method, we will pass your payment account details directly to our third-party payment processor. Throughline does not store any of your card details in our systems. Charges will appear on your account as "THROUGHLINE POLITICS INC."

D. Cancelling.

To cancel, go to the "Account" page on the Website and follow the cancellation instructions. The cancellation will take effect at the conclusion of the then-current billing period. If you signed up for the Services using your account with a third party as a Payment Method and wish to cancel your subscription, you may need to do so through that third party.

E. Price Changes.

We may change the price of using the Services from time to time. We will notify you at least one month before any price changes will become effective. If you do not wish to accept the price change or change to your subscription plan, you can cancel your subscription before the change takes effect.

F. No Refunds.

Payment of the subscription fees are nonrefundable and there are no refunds or credits for partially used subscription periods. Following any cancellation you will continue to have access to the Service through the end of your current billing period, provided however that if we deem it necessary to terminate or cancel your account for violation of these Terms of Use, you will not have access to the Service, regardless of the time remaining in your billing period.

AI Services Terms

Definitions.

  • "AI Subscriber Input" means information, data, materials, text, prompts, images, works, code, or other content that is input, entered, posted, uploaded, submitted, transferred, or otherwise transmitted by you or on your behalf through the Services.
  • "AI Subscriber Output" means information, data, materials, text, images, code, works, or other content generated by or otherwise output from the Services in response to an AI Subscriber Input.
  • "Authorized User" means you and your employees, consultants, contractors, and agents (i) who are authorized by you to access and use the Services under the rights granted to you under these Terms of Use and (ii) for whom access to the Services has been purchased hereunder.
  • "Subscriber Data" means AI Subscriber Input and AI Subscriber Output/information, data, and other content, in any form or medium, that is submitted, entered, posted, or otherwise transmitted by or on behalf of you or any other Authorized User through the Services, and any outputs based thereon or derived therefrom, including AI Subscriber Input and AI Subscriber Output. Subscriber Data does not include Aggregated Statistics.
  • "Personal Information" means information that: (a) identifies or can be used to identify an individual (including, without limitation, names, signatures, addresses, telephone numbers, email addresses, and other unique identifiers); or (b) can be used to authenticate an individual (including, without limitation, employee identification numbers, government-issued identification numbers, passwords or PINs, user identification and account access credentials or passwords, financial account numbers, credit report information, student information, biometric, health, genetic, medical, or medical insurance data, answers to security questions, an individual's internet activity or similar interaction history, inferences drawn from other personal information to create consumer profiles, geolocation data, an individual's commercial, employment, or education history, and other personal characteristics and identifiers). Your business or campaign contact information is not by itself deemed to be Personal Information.
  • "Process" means to take any action or perform any operation or set of operations that the Services are capable of taking or performing on any data, information, or other content. "Processing" and "Processed" have correlative meanings.
  • "Throughline IP" means the Services, any documentation, and all intellectual property provided to you or any other Authorized User in connection with the foregoing. For the avoidance of doubt, Throughline IP includes Aggregated Statistics and any information, data, or other content derived from Throughline's monitoring of your access to or use of the Services, but does not include Subscriber Data. Throughline IP includes all modifications, enhancements, refinements, adaptations, customizations, improvements, and derivative works of the Services.
  • "Third-Party Products" means any products, technology, content, data, services, information, websites, or other materials that are owned by third parties and are included in, incorporated into, or accessible through the Services, including any third-party AI service or technology.
  • "Training Data" means any and all information, data, materials, text, prompts, images, code, and other content that is used to train, validate, test, retrain, or improve any AI service or technology incorporated into or used with, in connection with, or in support of, the Services, except for Subscriber Data.

Access and Use.

Provision of Access.

Subject to and conditioned on your payment of subscription fees and compliance with all other conditions of these Terms of Use, Throughline hereby grants you a non-exclusive, non-transferable right to access and use the Services for the duration of your subscription period.

Use Restrictions.

You shall not use the Services for any purposes beyond the scope of the access granted in these Terms of Use. You shall not at any time, directly or indirectly:

  • copy, modify, or create derivative works of the Services, in whole or in part;
  • rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services;
  • reverse engineer, disassemble, decompile, decode, or duplicate the Services, reproduce Training Data, engage in model extraction, or otherwise attempt to derive or gain access to any source code, algorithm, model, model weights and parameters, or other underlying technology or component of the Services, in whole or in part;
  • access or use the Services to develop, train, or improve any other technology or a competing or similar product or service;
  • use web scraping, web harvesting, web data extraction or any other method to extract data from the Services;
  • remove any proprietary notices from the Services;
  • use the Services to create or generate AI Subscriber Output (or use AI Subscriber Output in a manner) that you know or should know infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law, regulation, or rule; or
  • submit, enter, post, or otherwise transmit or Process any Personal Information through the Services.

Aggregated Statistics.

Notwithstanding anything to the contrary in these Terms, Throughline may monitor your use of the Services and collect and compile data and information related to your use of the Services to be used by Throughline in an aggregated and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services ("Aggregated Statistics"). As between you and Throughline, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by Throughline. You agree that Throughline may use and make publicly available Aggregated Statistics to the extent and in the manner permitted under applicable law.

Reservation of Rights.

Throughline reserves all rights not expressly granted to you in these Terms. Except for the limited rights and licenses expressly granted under these Terms, nothing in these Terms grants, by implication, waiver, estoppel, or otherwise, to you or any third party, any intellectual property rights or other right, title, or interest in or to the Throughline IP or Third-Party Products.

Suspension.

Notwithstanding anything to the contrary in these Terms, Throughline may temporarily suspend your and any Authorized User's access to any portion or all of the Services if:

  • you have ceased to continue your business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding;
  • Throughline's provision of the Services to you or any other Authorized User is prohibited by applicable law; or
  • any vendor of Throughline has suspended or terminated Throughline's access to or use of any third-party services or products required to enable you to access and use the Services (any such suspension described in subclause (i), (ii), or (iii), a "Service Suspension").

Throughline shall use commercially reasonable efforts to provide written notice of any Service Suspension to you and to provide updates regarding resumption of access to the Services following any Service Suspension. Throughline shall use commercially reasonable efforts to resume providing access to the Services as soon as reasonably possible after the event giving rise to the Service Suspension is cured. Throughline will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that you or any other Authorized User may incur as a result of a Service Suspension.

Subscriber Responsibilities.

Acceptable Use Policy; Throughline Policies.

The Services may not be used for unlawful, fraudulent, offensive, or obscene activity, as further described and set out in these Terms of Use, which may be updated from time to time.

Account Use.

You are responsible and liable for all uses of the Services resulting from access provided by you, directly or indirectly, whether that access or use is permitted by or in violation of these Terms. Without limiting the generality of the foregoing, you are responsible for all acts and omissions of your affiliated Authorized Users, and any act or omission by an Authorized User that would constitute a breach of these Terms if taken by you will be deemed a breach of these Terms by you. You shall use reasonable efforts to make all Authorized Users aware of these Terms' provisions as applicable to such Authorized User's use of the Services and shall cause Authorized Users to comply with such provisions.

Use of AI Subscriber Output.

You are solely responsible for:

  • evaluating (including by human review) AI Subscriber Output for accuracy, completeness, and other factors relevant to your use before using, distributing, or relying on the AI Subscriber Output; and
  • your decisions, actions, and omissions in reliance or based on the AI Subscriber Output.

Passwords and Access Credentials.

You are responsible for keeping your passwords and access credentials associated with the Services confidential. You shall not sell or transfer them to any other person or entity. You shall promptly notify us about any unauthorized access to your passwords or access credentials.

Third-Party Products.

The Services may permit access to Third-Party Products. For purposes of these Terms, these Third-Party Products are subject to their own terms and conditions which may be presented to you for acceptance by website link or otherwise. The Services may also include or incorporate Third-Party Products licensed or provided by third parties that require us to pass through additional terms to you. You shall comply with all such applicable pass-through terms as made available to you by providers of the Third-Party Products, as such terms may be updated, modified, or added from time to time. We may add or remove Third-Party Products from time to time. If you do not agree to abide by the applicable terms for any Third-Party Products, then you should not install, access, or use these Third-Party Products or any Services that include or incorporate these Third-Party Products.

Website IP

The Website and its entire contents, features, and functionality (including but not limited to the Services, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Throughline, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the descriptive or promotional text or other material provided on our Website, except as may be permitted by US federal copyright laws.

You must not:

  • Modify copies of any materials published in the publicly-accessible pages of the Website.
  • Use any illustrations, photographs, video or audio sequences, or any graphics without our advance written permission.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Use, your right to use the Services will stop immediately and you must destroy any copies of the materials you have made. Any use of the Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Services IP; Feedback.

Throughline IP.

You acknowledge that, as between you and Throughline, Throughline owns all right, title, and interest, including all intellectual property rights, in and to the Throughline IP and, for Third-Party Products, the applicable third-party providers own all right, title, and interest, including all intellectual property rights, in and to the Third-Party Products. Throughline hereby grants you a non-exclusive, royalty-free, worldwide limited license to reproduce, distribute, and otherwise use and display the Throughline IP solely to the extent incorporated into and necessary for you to use and otherwise exploit the AI Subscriber Output.

Subscriber Data.

Throughline acknowledges that, as between you and Throughline, you own all right, title, and interest, including all intellectual property rights, in and to the Subscriber Data, except with respect to Throughline IP incorporated into AI Subscriber Output and subject to the license granted herein. You hereby grant to Throughline a non-exclusive, royalty-free, worldwide license to:

  • reproduce, distribute, and otherwise use and display the Subscriber Data and Process the Subscriber Data as may be necessary for Throughline to provide the Services to you; and
  • use, modify, and adapt AI Subscriber Input and AI Subscriber Output to train, develop, adapt, modify, enhance, or improve the Services and other products or services.

Throughline will not use Subscriber Data to train, develop, or improve the Services or any other product or service. Notwithstanding anything to the contrary in these Terms of Use, we may delete Subscriber Data at any time if we determine that Subscriber Data violates these Terms or that deletion is necessary to comply with applicable law.

Feedback.

If you or any other Authorized User sends or transmits any communications or materials to us by mail, email, telephone, or otherwise, suggesting or recommending changes to the Services, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), we are free to use that Feedback. All Feedback is and will be treated as non-confidential. You hereby assign to us on your behalf, and shall cause your Authorized Users to assign to us, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are have no obligation to acknowledge receipt of or use any Feedback.

Trademarks

The "Throughline Politics" name, our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Throughline or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with applicable laws.
  • To develop, create, produce, transmit, or procure the sending of, any communications that violate the CAN-SPAM Act of 2003.
  • To impersonate or attempt to impersonate Throughline, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Throughline or other users of the Website, or expose them to liability.

Additionally, you agree not to:

  • Use the Services in any manner that could disable, overburden, damage, or impair the functioning of the Services, or interfere with any other party's use of the Services.
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Website.
  • Use any device, software, or routine that interferes with the proper working of the Services.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the functioning of the Services.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the services, the server on which the Services is stored, or any server, computer, or database connected to the Services.
  • Attack any part of the Services via a denial-of-service attack or a distributed denial-of-service attack.

User Contributions

The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website.

All User Contributions must comply with the Content Standards set out in these Terms of Use. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our licensees, successors, and assigns.
  • All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Throughline, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for Throughline.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
  • Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.

YOU WAIVE AND HOLD HARMLESS THROUGHLINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is illegal to publish, defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

DMCA Takedown Requests

If you believe that any User Contributions violate your copyright, please send us a notice of the alleged copyright infringement by email to copyrights@throughlinepolitics.com. Your notice must include:

  • (i) the signature of the copyright owner or an authorized agent;
  • (ii) identification of the copyrighted work claimed to have been infringed,
  • (iii) identification of (ideally, a link to) the infringing material or activity and information reasonably sufficient to permit us to locate the material;
  • (iv) contact information for the copyright owner or authorized agent;
  • (v) a statement that the person sending the notice has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • (vi) a statement that the information in the notice is accurate, and under penalty of perjury, that the person sending the notice is authorized to act on behalf of the copyright owner.

Reliance on Information Posted

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.
